1. Acceptance of Terms

1.1 Binding Agreement

This Master Subscription Agreement (“Agreement” or “Terms of Use“) is a legally binding contract between:

  • Waplify, a product of Atozdebug Technology Pvt. Ltd.(“Company,” “we,” “us,” “our“), and
  • You or the organization you represent (“User,” “Customer,” “you,” “your“)

By accessing, registering, or using Waplify services (the “Services“), you accept and agree to be bound by this Agreement. This Agreement becomes effective immediately upon:

  • Your first access to Waplify
  • Your account creation or registration
  • Your acceptance of these terms via clicking “I Accept” or similar button
  • Your subscription to any Waplify plan

1.2 Authority to Bind

If you are using Waplify on behalf of an organization:

  • You represent that you have full authority to bind that organization to this Agreement
  • All references to “you” and “your” include the organization
  • Your organization is responsible for all use of Waplify through your account

If you are an individual:

  • You represent that you are at least 18 years old (or of legal age in your jurisdiction)
  • You have the right and capacity to enter into this legally binding Agreement

1.3 Disagreement with Terms

If you do not agree to these Terms:

  • Do not access or use Waplify
  • Do not create an account or subscribe to any plan
  • Cease use immediately

Continued use of Waplify constitutes acceptance of these Terms.

2. Definitions

“Account” – Your registered user account on Waplify with login credentials (email and password).

“Administrator” – A user with full account access who can manage other users, billing, and settings.

“Administrative User” – An employee, contractor, or delegate granted access to your account by you.

“Subscription Term” – The billing period for your chosen plan (monthly, quarterly, annually).

“Subscription Plan” – The pricing tier and feature set you select (available at https://waplify.io/pricing)

“Subscription Fee” – The monthly, quarterly, or annual fee for your selected plan.

“Meta” – Meta Platforms, Inc., formerly Facebook, Inc., provider of WhatsApp Business API.

“Conversation Charges” – Fees charged by Meta for WhatsApp template messages and conversations (separate from Subscription Fee).

“User Data” – All information, content, and data you upload, create, or input into Waplify (includes contact lists, messages, campaign data, media files).

“Personal Data” – Personally identifiable information of your contacts, customers, or third parties (as defined in our Privacy Policy).

“Services” – All Waplify features, functionality, website, mobile application, API, webhooks, and related services.

“Intellectual Property” – All patents, trademarks, copyrights, trade secrets, and proprietary information related to Waplify.

“Force Majeure Event” – Events beyond reasonable control (natural disasters, war, pandemics, government actions, strikes, etc.).

3. Service Description

3.1 What Waplify Provides

Waplify is a cloud-based Software-as-a-Service (SaaS) platform that enables you to:

  • Send bulk WhatsApp messages via the official WhatsApp Business API
  • Manage contacts and customer communication campaigns
  • Create and send WhatsApp message templates
  • Access automated ChatBot functionality
  • Generate productivity and campaign analytics
  • Integrate with third-party services via API and webhooks

Manage team members and delegate access

3.2 WhatsApp Business API Dependency

Important: Waplify operates through Meta’s WhatsApp Business API. By using Waplify, you acknowledge:

  • Waplify depends entirely on Meta’s WhatsApp Business API for message delivery
  • Meta may change, limit, or discontinue WhatsApp Business API services at any time
  • Meta may impose rate limits, daily message quotas, or account restrictions
  • Waplify has no control over Meta’s technical infrastructure or decisions
  • Any disruption to Meta’s services will directly affect your ability to send messages
  • Waplify is not liable for service disruptions caused by Meta

You agree to comply with all Meta WhatsApp Business policies (see Section 6).

3.3 Service Level

Waplify provides Services on an “as-is” and “as-available” basis:

  • We do not guarantee 100% uptime
  • Scheduled maintenance may cause temporary interruptions
  • Technical issues, bugs, or errors may occur

Features and functionality may be modified or updated

4. Subscription Plans & Billing

4.1 Available Plans

Waplify offers various subscription plans (detailed at https://waplify.io/pricing):
  • Monthly Plans– Billed monthly, automatically renews
  • Quarterly Plans– Billed every 3 months
  • Annual Plans– Billed annually with discount options
  • Life Time Plan – Billed one time and can access for lifetime.
Each plan includes specific features, user seats, and monthly message limits (see pricing page).

4.2 Free Trial

  • New users may access a free trial periodwith limited features
  • Trial is non-renewableand converts to paid plan only upon your active subscription
  • After trial expires, you must choose a paid plan to continue using Waplify

We reserve the right to modify or cancel trial offers without notice

4.3 Plan Changes

Upgrades:

  • You may upgrade to a higher plan at any time
  • New plan pricing takes effect immediately
  • Pro-rated charges apply for the remainder of the current billing cycle
  • Subsequent months charged at full new plan price

Downgrades:

  • Downgrades take effect at the start of your next billing cycle
  • No refunds or credits for unused portions of current cycle
  • Some features may be removed if unavailable in lower plan

5. Payment & Fees

5.1 Subscription Fees

What’s Included:

  • Your selected Waplify subscription plan
  • Access to platform features, contacts, campaigns, analytics as per your plan
  • Team member seats as per your plan
  • API and webhook access as per your plan
  • Customer support as per your plan

What’s NOT Included:

  • WhatsApp Conversation Charges (billed separately by Meta)
  • Taxes, levies, duties, or governmental assessments
  • Third-party integration fees

5.2 WhatsApp Conversation Charges

Critical: WhatsApp charges are separate from Subscription Fees:

    • Meta determines all conversation pricing
    • Charges vary by message type (template, session, HSM) and recipient country
    • Charges appear on your Waplify invoice but are collected on behalf of Meta
    • Waplify has no control over Meta’s pricing
    • You remain fully responsible for all Meta charges incurred.

You should:

    • Review Meta’s current conversation rates before sending campaigns
    • Monitor your WhatsApp usage and chat window status
    • Understand 24-hour conversation windows for free messaging

5.3 Taxes

All Subscription Fees and Conversation Charges are exclusive of taxes:

  • You are responsible for paying all applicable taxes (VAT, GST, sales tax, etc.)
  • Taxes will be itemized separately on your invoice
  • Waplify will collect taxes where legally required
  • You agree to indemnify Waplify for any tax liability

5.4 Payment Methods

Accepted payment methods:

  • Razorpay(primary)
  • Stripe
  • PayPal
  • Paddle
  • Payoneer

Payment information is processed securely by third-party payment processors (see Section 16).

5.5 Billing Cycle

  • Billing occurs in advanceat the start of each Subscription Term
  • Automatic renewal happens on your renewal date (monthly, quarterly, or annually)
  • You will receive invoice and billing reminder notifications via email

Payment is due within 7 days of invoice date

5.6 Failed Payments

  • We will attempt to recharge using your saved payment method
  • If payment remains unsuccessful after 7 days:
    • Your subscription will be suspended.
    • You will lose access to Waplify.
    • We may charge late fees or interest (if permitted by law).
    • Your account may be terminated.
  • You are responsible for all costs resulting from failed payments

6. WhatsApp Business API Terms

6.1 Compliance with Meta Policies

By using Waplify to send WhatsApp messages, you agree to comply with all Meta WhatsApp policies: You acknowledge that violating any Meta policy may result in:
    • Account suspension or termination by Meta
    • Permanent ban from WhatsApp Business API
    • Loss of ability to send WhatsApp messages
    • Waplify cannot restore access—only Meta can

6.2 Restricted Industries & Compliance

You represent that your business and use of Waplify are not:

    • Related to gambling, betting, or illegal gaming
    • Involved in sale of counterfeit or pirated goods
    • Related to illegal drugs or controlled substances
    • Involving human trafficking or exploitation
    • Promoting hate speech, violence, or terrorism
    • Violating any applicable laws or regulations
    • Subject to US government sanctions or embargoes (OFAC)
    • Using WhatsApp for illegal purposes.

Meta reserves the right to reject your business at any time, and Waplify cannot override Meta’s decisions.

6.3 Account Verification

  • Your WhatsApp Business Account must be verified by Meta
  • Waplify will assist with verification but has no control over Meta’s approval
  • Meta may request additional documentation or information
  • Incomplete or fraudulent verification may result in rejection

6.4 Message Templates

  • You must create templates via Meta Business Manager, not within Waplify
  • Waplify can sync approved templates from your Meta account
  • Meta may reject, approve, or modify templates at its discretion
  • Template rejections are Meta’s decision—Waplify cannot override
  • You are responsible for template compliance with Meta policies

6.5 Rate Limits & Daily Quotas

  • Meta may limit daily message volume based on quality scores
  • Quality scores depend on user reports, delivery rates, and compliance
  • Limits can change without notice
  • Waplify has no ability to override or increase Meta-imposed limits
  • Exceeding limits may result in temporary or permanent restrictions

6.6 Failed Payments

Meta’s rate limits include:

  • Standard Rate:60 messages per second (approximate)
  • Daily Limit:May vary by account quality and recipient countries
  • 24-Hour Window:Free messaging available for 24 hours after customer initiates contact

You are responsible for understanding and complying with these limits.

6.7 Blocked Contacts

Meta does not notify you when a user blocks your WhatsApp number or requests not to receive messages. You may not access blocked user lists through Waplify or WhatsApp Business API.

6.8 Negative Feedback & Account Quality

If recipients report your messages as spam:

    • Your WhatsApp quality score decreases
    • Meta may automatically reduce your daily message quota
    • Meta may suspend or ban your account
    • Waplify cannot prevent or override these actions.

7. User Representations & Warranties

7.1 You Represent & Warrant That:

  • You are of legal age (18+) and competent to enter into this Agreement
  • You have full authority to bind your organization to this Agreement
  • You own or control all User Data you submit to Waplify
  • All User Data is accurate, complete, and not misleading
  • You have obtained all necessary consents from contacts before adding them to Waplify
  • Your use of Waplify is for legitimate business purposes only
  • You are not in violation of any Meta WhatsApp policies
  • You are not located in, or subject to sanctions from, any restricted country/region
  • You will comply with all applicable laws and regulations
  • You will maintain accurate billing and account information
  • Your account credentials are kept confidential and secure

7.2 Incorrect Information

If any representation is false or becomes false:

    • You must notify Waplify immediately
    • Failure to disclose may result in account termination without refund
    • You may be liable for damages resulting from misrepresentation

8. Acceptable Use Policy

8.1 Prohibited Activities

You must not use Waplify to:

Illegal Activities:

    • Violate any local, state, national, or international law
    • Facilitate illegal gambling, betting, or gaming
    • Distribute illegal drugs or controlled substances without authorization
    • Traffic in counterfeit or stolen goods
    • Facilitate human trafficking or exploitation
    • Promote or engage in fraud, hacking, or cybercrime

Messaging & Content:

    • Send unsolicited commercial messages (spam)
    • Send messages to users who have not consented
    • Impersonate another person or entity
    • Send messages containing malware, viruses, or harmful code
    • Send messages containing discriminatory, hateful, or abusive content
    • Send messages threatening violence, harm, or illegal activity
    • Send false or misleading information (false advertising, scams)
    • Harass, bully, or threaten recipients
    • Send obscene, sexually explicit, or child exploitation material

Platform Abuse:

    • Reverse engineer, decompile, or attempt to access Waplify source code
    • Copy, scrape, or extract Waplify features or content for competitive purposes
    • Create competing products by copying Waplify functionality
    • Resell or redistribute Waplify access without authorization
    • Use automated tools, bots, or scripts to bypass restrictions
    • Access Waplify systems without authorization
    • Interfere with or disrupt Waplify infrastructure
    • Attempt to circumvent payment or usage limits
    • Use Waplify for purposes other than intended functionality

Data Misuse:

    • Collect or sell contact information obtained through Waplify
    • Use contact lists for purposes other than intended
    • Share access credentials with unauthorized parties
    • Access other users’ accounts or data without permission

8.2 Monitoring & Enforcement

Waplify reserves the right to:

    • Monitor your use of Services for compliance with this Agreement
    • Remove, block, or filter User Data without notice if violations are suspected
    • Suspend or terminate your account immediately for violations
    • Investigate complaints and take appropriate action
    • Cooperate with law enforcement if illegal activity is detected

9. User Responsibilities

9.1 Account Security

You are solely responsible for:

    • Maintaining confidentiality of your login credentials (email and password)
    • Choosing strong, unique passwords
    • Not sharing credentials with unauthorized parties
    • Ensuring Administrative Users comply with this Agreement
    • Monitoring account activity for unauthorized access
    • Updating billing and contact information
    • Notifying us immediately of unauthorized access or security breaches

9.2 User Data Management

You are solely responsible for:

    • Ensuring all User Data is accurate, complete, and lawful
    • Obtaining consents from all contacts before adding to Waplify
    • Maintaining backups of User Data
    • Complying with all data protection laws (GDPR, CCPA, DPDPA, etc.)
    • Using User Data only for permitted purposes
    • Respecting recipient privacy and opting-out requests
    • Deleting User Data upon request from contacts

Waplify is not responsible for:

    • Loss, corruption, or deletion of User Data
    • Failure to back up User Data
    • Unauthorized access if you fail to secure credentials
    • Consequences of inaccurate or illegal User Data

9.3 Administrative User Management

If you grant access to Administrative Users:

    • You remain liable for their actions and compliance
    • You must ensure they comply with this Agreement
    • You authorize their use as if it were your own
    • You are responsible for removing access when needed
    • Violations by Administrative Users are treated as your violations.

9.4 Mobile & Device Responsibility

  • You are responsible for mobile charges, data fees, and internet access
  • Waplify is not liable for mobile carrier charges
  • You must ensure your device meets Waplify system requirements
  • You must use current, secure browsers and operating systems

10. Intellectual Property Rights

10.1 Waplify IP Ownership

Waplify and Atozdebug Technology Pvt. Ltd. own all intellectual property related to:

    • The Waplify platform, website, and mobile application
    • All software, code, algorithms, and technology
    • All content, graphics, logos, designs, and features
    • All documentation, guides, and materials
    • All suggestions, feedback, or enhancements you provide
    • All data derived from your use (in aggregated, non-identifying form)

10.2 Your Limited License

We grant you a limited, non-exclusive, revocable, non-transferable license to:

    • Access and use Waplify for your authorized purposes
    • Use Waplify features as intended and documented
    • Store and manage your User Data

10.3 Restrictions on Your Use

You may NOT:

    • Sublicense, resell, rent, or redistribute Waplify
    • Modify, adapt, translate, or create derivative works
    • Remove copyright, trademark, or proprietary notices
    • Use Waplify to develop competing products
    • Reverse engineer, decompile, or disassemble Waplify
    • Extract or repurpose Waplify code or functionality
    • Publish content about Waplify without prior written consent
    • Use Waplify trademarks or branding without authorization

10.4 Mobile & Device Responsibility

“Waplify” and “ATOZDEBUG” are trademarks of Atozdebug Technology Pvt. Ltd. You may not use these trademarks without written permission. Other trademarks mentioned are property of their respective owners and are used for identification only.

10.5 Third-Party Components

Waplify may include third-party software, libraries, or services. Use of these components is subject to their respective licenses and terms.

11. Limitation of Liability

11.1 Exclusion of Damages

To the maximum extent permitted by law, Waplify, Atozdebug Technology Pvt. Ltd., and their officers, employees, affiliates, and licensors are NOT liable for:

  • Indirect, Incidental, Consequential, Special, or Punitive Damages, including:
    • The Waplify platform, website, and mobile application
    • All software, code, algorithms, and technology
    • All content, graphics, logos, designs, and features
    • All documentation, guides, and materials
    • All suggestions, feedback, or enhancements you provide
    • All data derived from your use (in aggregated, non-identifying form)

Even if we have been advised of the possibility of such damages.

11.2 Direct Damages Cap

Our total liability to you is limited to:

    • The total Subscription Fees you paid in the 12 months preceding the claim, OR
    • USD 500 (whichever is less)

This applies to all claims, regardless of legal theory (contract, tort, negligence, etc.).

11.3 Specific Exclusions

We are not liable for:

    • Service interruptions or downtime
    • Errors, bugs, or technical issues in Waplify
    • Meta WhatsApp Business API disruptions or changes
    • Loss, corruption, or deletion of User Data
    • Unauthorized access due to your negligence
    • Consequences of your non-compliance with this Agreement
    • Third-party service failures (hosting, payment processors, Meta)
    • Malware, viruses, or hacking attacks
    • Your reliance on Waplify content or functionality
    • Any disputes between you and recipients or third parties

11.4 Your Sole Remedy

Your exclusive remedy for any claims is:

    • For paid customers:Refund of Subscription Fees (subject to Section 14)
    • For trial users:Discontinuation of trial access

12. Indemnification

12.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless Waplify, Atozdebug Technology Pvt. Ltd., and their officers, employees, agents, and affiliates from:

Any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of Waplifyin violation of this Agreement or applicable laws
  • Your User Data, including claims that User Data:
    • Violates intellectual property rights (copyright, trademark, trade secret)
    • Infringes privacy rights or violates privacy laws
    • Is defamatory, obscene, hateful, or illegal
    • Caused harm to recipients or third parties
  • Your conduct, including:
    • Violating Meta WhatsApp policies
    • Sending unsolicited or fraudulent messages
    • Using Waplify for illegal purposes
    • Harassing or threatening recipients
    • Breaching recipient consents or privacy
  • Administrative Users acting under your authority

12.2 Defense

We will notify you of any claim and cooperate in your defense. You will:

    • Pay for our legal representation
    • Not settle claims without our consent
    • Provide all reasonable cooperation

13. Termination

13.1 Termination by You

You may terminate your Waplify subscription at any time by:

    • Emailing with termination request
    • Providing written notice via your account settings
    • Submitting a cancellation form

Termination is effective at the end of your current Subscription Term. You retain access until the paid period expires.

13.2 Termination by Waplify

We may terminate or suspend your account immediately without notice if:

    • You violate this Agreement or Meta WhatsApp policies
    • You engage in fraud, illegal activity, or harassment
    • Your account is used for prohibited purposes
    • Your payment fails and remains outstanding
    • You pose a security risk or threat to other users
    • We are required to do so by law
    • You violate any material term of this Agreement

13.3 Effects of Termination

Upon termination or expiration:

    • Your access to Waplify ceases immediately
    • You lose all rights to use Waplify
    • Your User Data is retained for 30 daysthen deleted
    • Some data may be retained for legal/compliance reasons (up to 7 years)
    • No refunds are issued for termination (see Section 14)
    • All obligations and liabilities survive termination

13.4 No Reinstatement

Terminated accounts may not be reinstated. You must create a new account and subscribe to a new plan if you wish to use Waplify again.

14. Data & Security

14.1 Data Responsibility

Waplify retains your User Data:

    • During your active subscription
    • For 90 days after account termination or cancellation
    • For legal/compliance purposes (up to 7 years if required)
    • Deleted securely after retention period expires

You are responsible for:

    • Obtaining consent to collect User Data
    • Compliance with data protection laws (GDPR, CCPA, DPDPA, etc.)
    • Deleting User Data upon contact requests
    • Maintaining appropriate security

14.2 Security Measures

Waplify implements:

    • Encryption: SSL/TLS for data in transit; encryption at rest for sensitive data
    • Access Controls: Authentication, role-based permissions, audit logs
    • Firewalls & Monitoring: Network security and intrusion detection
    • Regular Audits: Security testing and vulnerability assessments
    • Employee Training: Data protection and security awareness

However, no system is 100% secure. We cannot guarantee absolute security against advanced attacks or breaches.

14.3 Breach Notification

If we discover a data breach:

    • We will investigate and assess risk
    • We will notify affected users within legally required timeframes
    • We will provide guidance on protective measures
    • We will cooperate with authorities as required

15. Third-Party Services

15.1 Payment Processors

Waplify uses third-party payment processors:

    • Razorpay– Primary payment processor
    • Stripe– Alternative payment gateway
    • PayPal– Alternative payment option
    • Paddle– Subscription management (EU compliance)
    • Payoneer– International payments

Important:

    • Payment data is processed by these third parties, not Waplify
    • Each processor complies with PCI-DSS standards
    • Waplify does not store payment card details
    • Processing is subject to each processor’s terms and privacy policy
    • Charges by processors may apply (e.g., currency conversion, transaction fees)

15.2 Analytics & Marketing Tools

Waplify uses:

    • Google Analytics– Website traffic and usage analytics
    • Meta Pixel– Conversion tracking and remarketing
    • LinkedIn Pixel– Professional audience analytics
    • PostHog– Product analytics and feature usage

These tools collect usage data subject to their privacy policies. You may opt out via their tools (see Privacy Policy for links).

15.3 WhatsApp Business API

Waplify integrates with Meta’s WhatsApp Business API:

    • Message delivery depends on Meta’s infrastructure
    • Data sharing with Meta as required for service provision
    • Subject to Meta’s terms and policies
    • Waplify has no liability for Meta service changes

15.4 Cloud Infrastructure

Waplify data is hosted on cloud servers provided by third-party infrastructure providers. Data may be transferred internationally per our Privacy Policy.

15.5 Limitation on Third-Party Liability

Waplify is not responsible for:

    • Third-party service interruptions or failures
    • Third-party data breaches or security issues
    • Third-party policy changes or feature removals
    • Changes in third-party pricing or availability
    • Consequences of third-party service disruptions

Any disputes with third parties are between you and that party.

16. Changes to Terms

16.1 Right to Modify

Waplify may modify this Agreement at any time:
    • Updates posted on our website with updated “Last Updated” date
    • We will attempt to notify you via email of material changes
    • Continued use of Waplify after changes = acceptance of new terms
    • You may review updated terms anytime at 6 https://waplify.io/terms-conditions/

16.2 Material Changes

For significant changes:

    • We will provide 30 days’ notice via email
    • You may terminate your subscription without penalty during this period
    • Your continued use = acceptance of changes

16.3 Your Responsibility

You are responsible for:

    • Reviewing updated terms periodically
    • Understanding all changes
    • Complying with updated terms

17. Dispute Resolution

17.1 Governing Law

This Agreement is governed by the laws of India, specifically:

    • Information Technology Act, 2000
    • Digital Personal Data Protection Act (DPDPA), 2023
    • Indian Contract Act, 1872
    • Applicable state and central laws

Not governed by:

    • GDPR (though we comply with GDPR for EU users)
    • CCPA (though we comply with CCPA for California users)
    • Other jurisdictional laws (except where mandatory)

17.2 Jurisdiction & Venue

All disputes arising from this Agreement shall be resolved exclusively in:

    • Courts of Guwahati, Assam, India
    • You consent to the exclusive jurisdiction of these courts
    • You waive any objection based on inconvenient forum

17.3 Informal Resolution

Before formal legal action:
    • Contact us at [email protected] with detailed description of dispute
    • We will attempt amicable resolution within 30 days
    • Escalate to management if not resolved

17.4 Prohibited Actions

You may not:

    • File class action lawsuits
    • Participate in group arbitrations
    • Pursue claims on behalf of third parties
    • Seek injunctive relief (without exhausting other remedies first)

18. General Provisions

18.1 Entire Agreement

This Agreement, including Privacy Policy and Refund Policy, constitutes the entire agreement between you and Waplify regarding Waplify services. It supersedes all prior agreements, understandings, and communications.

18.2 Severability

If any provision of this Agreement is found invalid, illegal, or unenforceable:

    • That provision is modified to the minimum extent necessary to make it valid
    • All other provisions remain in full effect
    • The intent of the parties is preserved

18.3 Waiver

Failure to enforce any provision does not constitute waiver:

    • We may enforce provisions at any time
    • Waiver must be in writing by authorized representative
    • One waiver does not waive future breaches

18.4 Assignment

You may not assign this Agreement to third parties without our written consent. Any attempt to assign is void.

Waplify may assign this Agreement to successors, affiliates, or acquirers in connection with merger or acquisition.

18.5 No Partnership

No partnership, joint venture, or agency relationship is created between you and Waplify:

    • We are independent service providers
    • You are not authorized to bind Waplify
    • You may not represent yourself as our agent

18.6 Relationship of Parties

This is a service agreement only:

    • No employment relationship
    • No contractor relationship
    • No representative authority

18.7 Notices

All legal notices must be sent to:

18.8 Force Majeure

Waplify is not liable for failure to perform due to events beyond reasonable control:

    • Natural disasters, earthquakes, floods
    • War, terrorism, political unrest
    • Pandemics or epidemics
    • Government actions or sanctions
    • Strikes or labor disputes
    • Electrical failures or internet outages
    • Acts of other third parties

During Force Majeure events:

    • We will make reasonable efforts to continue service
    • Payment obligations may be suspended (but not forgiven)
    • We are not liable for service interruptions

18.9 Headings

20. Additional Provisions

20.1 Compliance with Laws

You agree to comply with all applicable laws:

    • Export controls and sanctions
    • Anti-money laundering (AML) regulations
    • Know Your Customer (KYC) requirements
    • Data protection and privacy laws
    • Consumer protection laws
    • Spam and anti-harassment regulations (CAN-SPAM, GDPR, DPDPA)

20.2 User Restrictions

You certify that:

    • You are not located in sanctioned countries (Cuba, Iran, North Korea, Sudan, Syria, Crimea)
    • You are not on OFAC Specially Designated Nationals List
    • You are not a terrorist or terrorist-supporting entity
    • You are not using Waplify for money laundering or illegal activity

20.3 Sanctions & Embargo Compliance

By using Waplify, you represent that neither you nor your organization:

    • Are subject to US, UN, EU, or Indian sanctions
    • Conduct business with sanctioned countries or entities
    • Facilitate trade with restricted parties

We may:

    • Terminate your account if sanctions violations are detected
    • Report violations to authorities if required
    • Retain data for compliance purposes

21. Acknowledgment

By clicking "I Accept", or creating an account, or using Waplify, you acknowledge that:

You agree to comply with all applicable laws:

✓ You agree to all terms and conditions
✓ You represent that you have authority to bind your organization
✓ You understand the limitations of liability and disclaimers
✓ You accept the non-refundable nature of Subscription Fees (except 15-day window)
✓ You will comply with Meta WhatsApp policies
✓ You accept all risks associated with using Waplify
✓ You waive any claims against Waplify unless within the liability cap
✓ This Agreement supersedes all prior communications

This Terms & Conditions agreement is effective as of November 30, 2025, and applies to all users of Waplify regardless of location.
